THE FOLLOWING DESCRIBES THE TERMS IN WHICH COFFEE & TEA TO GO GO OFFERS YOU ACCESS TO OUR SERVICES.

Welcome to the Member Agreement (the “Agreement” or “Member Agreement”) for Coffee & Tea to Go Go, LLC. This Agreement describes the terms and conditions applicable to your use of our services available under the domain and sub-domains of coffeeandteatogogo.com  (the “Site”). If you do not agree to be bound by the terms and conditions of this Agreement, do not use or access our services and do not register to be a member of Coffee & Tea to Go Go.

You must read, agree with and accept all of the terms and conditions contained in this Member Agreement, which includes the terms and conditions expressly set out below and those incorporated by reference, before you may become a member of Coffee & Tea to Go Go. We strongly recommend that, as you read this Member Agreement, you also access and read the information contained in other pages of the Coffee & Tea to Go Go – Privacy Policy, Invite-A-Friend Program and FAQ’s (collectively known as “Agreements”), as they may contain further terms and conditions that apply to you and a better understanding as a Coffee & Tea to Go Go Member/User. Please note: Underlined words and phrases are links to these pages. By accepting this Member Agreement, you agree that your use of the Coffee & Tea to Go Go Site and other future Coffee & Tea to Go Go Sites will be governed by the Agreements posted on this Site.

We may amend these Agreements at any time by posting the amended terms on the Site. Except as stated below, all amended terms shall automatically be effective 10 days after they are initially posted on the Site. Please check these terms periodically for changes. In addition, we may notify you in accordance with your Email Notification Preferences. This Agreement may not be otherwise amended except in a writing signed by you and Coffee & Tea to Go Go, LLC. Your continued use of Coffee & Tea to Go Go Services following the posting or changes to the terms contained within all Agreements constitutes that you accept any changes contained within. These Agreements are effective upon acceptance in registration for new registering members and is otherwise effective on January 1st, 2025 for all members.

Overview:

Coffee & Tea to Go Go, LLC., is a website where you can also be part of a viral marketing campaign that is all about empowering, encouraging and inspiring people to make a difference! While it will be a website with a network into learning more about coffee, teas and making purchases of those products, it will also be a way to raise money where 10% of the proceeds of your purchases (It will not cost you anything extra) will be given to your choice of top charities by Coffee & Tea to Go Go. Plus, you’ll be incentivized with a monetary reason to nourish this community to stand collectively together by simply inviting and referring others to become members of Coffee & Tea to Go Go and you’ll earn 5% of all of their purchases. It is our hope through this social enterprise and synergistic movement that charities will have an influx of money donated, thereby being able help people, speed up research, and/or find cures that they have set out to accomplish. It will truly be a community of giving, where You make a difference and everybody wins!

Coffee & Tea to Go Go, allows it’s members/users to access it’s site, make purchases, refer others and makes donations to its charities in this unique manner (collectively known as “Coffee & Tea to Go Go Services”). This Member Agreement applies to Coffee & Tea to Go Go Services, as well as any new products, Site Offerings or Services that we may add in the future (unless stated otherwise).

Membership Eligibility & Requirements:
Coffee & Tea to Go Go Services are offered to all individual persons worldwide who at the time of registration have reached the age of majority of the jurisdiction in which they reside. Our services are available only to, and may only be used by individuals who can form legally binding contracts under applicable law. Without limiting the foregoing, our services are not available to minors (persons under the age of 18).

Coffee & Tea to Go Go Invite-A-Friend Program and Membership:
To become a member of the Coffee & Tea to Go Go Invite-A-Friend Program, you must make a purchase of a product or service. One, then becomes automatically enrolled upon registration as a member in Coffee & Tea to Go Go. You, as the Original Member, simply by marketing and inviting other people that join to become members to of Coffee & Tea to Go Go will receive five percent (5%) from all referred members purchases. Each of these referred members will be known as your “Chain of invited members” and your earnings will be known as, “Coffee & Tea to Go Go Dollars.” These referrals will be easy to obtain by sending out invitation emails to family, friends and other acquaintances through email templates provided by the site and/or by a member supplying a prospective member with their Referral URL and those Invited Members going to coffeeandteatogogo.com and using this Referral URL. This Referral URL will be tracked and members will receive earnings/Coffee & Tea to Go Go Dollars for all purchases from their Chain of Invited Members.

There is no limit on how many members you can invite and you will continue to earn Coffee & Tea to Go Go Dollars for all purchases. It is our hope that as each member achieves greater earnings/Coffee & Tea to Go Go Dollars that member will in fact, give back even larger contributions towards their desired charities.

Invite-A-Friend eCertificates:
There is a way to gift a good friend and obtain referrals through purchasing a Coffee & Tea to Go Go Invite-A-Friend eCertificate in $10, $15 and $20 denomination amounts. Once purchased, just give a friend the eCertificate Code and/or you may use the email templates provided by the site as well. Once in the email templates, a member can simply use the eCertificate radio button and the eCertificate Code will appear in the email to copy and send out to friends. This eCertificate will be tracked through this eCertificate Code and when that friend enters the site, they will be informed about the site, be able to make a purchase and insert the eCertificate Code for a discount in the amount of the eCertificate. As the Original Referring Member you will get credit through the eCertificate Code that was tracked and thus add that member onto your Chain of Invited Members. The new member in turn can do the same, becoming the Original Referring Member with their friends, and their new members will be tracked, logged, credited to their Chain of Invited Members and thus the cycle continues.

*Note: All Coffee & Tea to Go Go Invite-A-Friend eCertificates, once purchased can be sent to as many people as a member wants, but only One New Member can receive a discount off that purchase in the denomination amount of the eCertificate. Therefore, eCertificates are on a First Used bases only and are no longer valid for a discount after one is used.

There are only Two Requirements to be a Member of the Invite-A-Friend Program (IAFP):
1) A Member cannot falsely re-create oneself; in other words, there can only be one individual name, email address and password with a matching members Username. 2) A member’s referrals must make purchases on coffeeandteatogogo.com for each Referring Member to receive earnings/Invite-A-Friend Dollars.

Member Initiatives (Coming Soon):
A section of the Coffee & Tea to Go Go Site where a member can alert the community and raise awareness and monies for their own particular charity of choice through the site and their own events. i.e. marathons, wine tastings, etc.

My Account Section:
This is a password-protected area of the site where a member can do any of the following:
See and change their personal information in their Account Profile, access pages to see their Purchase Orders, Referrals, Earnings/Invite-A-Friend Dollars, pick their Favorite Charities (coming soon), Email Templates, Purchase and Track eCertificates that may be used for gaining referrals.

Binding Agreements, Suspension and/or Termination:
Coffee & Tea to Go Go reserves the right to terminate, temporarily or indefinitely suspend Coffee & Tea to Go Go members. If you do not qualify, please do not use our Site. Further, your Coffee & Tea to Go Go account and Username may not be transferred or sold to another party. If you are registering as a business entity, you represent that you have the authority to bind the entity to these Agreements. Members acknowledge that Coffee & Tea to Go Go is not liable for reimbursement of any items contained within to members who are in violation of these provisions. By registering, you agree to these Agreements, which are final and binding in all respects.

Identity Verification:
We use many techniques to verify the accuracy of the information our members provide us when they register on the Site. However, because member verification on the Internet is difficult, Coffee & Tea to Go Go cannot be held responsible for misinformation given on the part of the member.

Release:
You release Coffee & Tea to Go Go (and our officers, directors, agents, subsidiaries, joint ventures and employees) from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes from any misrepresentation on account of member errors in registering or altering information that is given on behalf of each member.

Information Control:
We do not control the information provided by members that is made available through our system.
Note: That there are also risks of dealing with underage persons or people acting under false pretense. Additionally, there may also be risks dealing with international trade and foreign nationals as they purport their information to be valid and within legal guidelines, rules and regulations within the law or jurisdiction enacted. Coffee & Tea to Go Go cannot and will not be held accountable or responsible for the acts and omissions of members on the Site.

Email Communications:
By participating, you agree to receive emails and any other communications from Coffee & Tea to Go Go (and/or in conjunction with its Charities) which Coffee & Tea to Go Go deems necessary or appropriate in conjunction with the administration of the Coffee & Tea to Go Go Services or in connection with any offers or promotions provided by Coffee & Tea to Go Go or third parties in a manner consistent with those posted in the Coffee & Tea to Go Go Privacy Policy. If you do not wish to receive these communications, we encourage you to opt-out of the receipt of certain communications on your Account Profile Page by choosing which “Email Notifications” you prefer and you may continue to change these at any time.

Fraud:
Without limiting any other remedies, Coffee & Tea to Go Go may suspend or terminate your account if we suspect that you (by conviction, settlement, insurance or escrow investigation, or otherwise) have engaged in fraudulent activity in connection with the Site.

Manipulation:
No member may manipulate the System and Services contained within Coffee & Tea to Go Go Site.

Your Information:
Definition – “Your Information” is defined as any information you provide to us in the registration, purchasing, donating or through future correspondents via telephone, mail, email or any other method. You are solely responsible for Your Information as described under the Coffee & Tea to Go Go Privacy Policy.

Privacy:
We do not sell or rent your personal information to third parties for their marketing purposes without your explicit consent and we only use your information as described in the Coffee & Tea to Go Go Privacy Policy. We view protection of members/users’ privacy as a very important community principle. We understand clearly that you and your information is one of our most important assets. We store and process your information on computers located in the United States that are protected by physical as well as technological security devices. We use third parties to verify and certify our privacy principles. If you object to your Information being transferred or used in this way please do not use our services.

Restricted Activities:
Your Information and your activities on the Site shall not;(a) be false, inaccurate or misleading; (b) be fraudulent; (c) infringe any third party’s copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy; (d) violate any law, statute, ordinance or regulation (including, but not limited to, those governing export control, consumer protection, unfair competition, anti-discrimination or false advertising); (e) be defamatory, trade libelous, unlawfully threatening or unlawfully harassing; (f) be obscene; (g) contain any viruses, Trojan horses, worms, time bombs, cancelbots, easter eggs or other computer programming routines that may damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information; (h) create liability for us or cause us to lose (in whole or in part) the services of our ISPs or other suppliers.

License:
Solely to enable Coffee & Tea to Go Go to use the information you supply us with, so that we are not violating any rights you might have in that information, you agree to grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sub-licensable (through multiple tiers) right to exercise the copyright, publicity, and database rights (but no other rights) you have in Your Information, in any media now known or not currently known, with respect to Your Information. Coffee & Tea to Go Go will only use Your Information in accordance with our Privacy Policy.

Access and Interference:
The Site contains robot exclusion headers. Much of the information on the Site is updated on a real time basis and is proprietary or is licensed to Coffee & Tea to Go Go by our users or third parties. You agree that you will not use any robot, spider, scraper or other automated means to access the Site for any purpose without our express written permission. Additionally, you agree that you will not: (i) take any action that imposes, or may impose in our sole discretion an unreasonable or disproportionately large load on our infrastructure; (ii) copy, reproduce, modify, create derivative works from, distribute or publicly display any content (except for Your Information) from the Site without the prior expressed written permission of Coffee & Tea to Go Go and the appropriate third party, as applicable; (iii) interfere or attempt to interfere with the proper working of the Site or any activities conducted on the Site; or (iv) bypass our robot exclusion headers or other measures we may use to prevent or restrict access to the Site

Breach:
Without limiting other remedies, we may limit your activity, immediately remove you, issue a warning, temporarily suspend, indefinitely suspend or terminate your membership and refuse to provide our services to you if: (a) you breach this Agreement, or the documents it incorporates by invitation; (b) we are unable to verify or authenticate any information you provide to us; or (c) we believe that your actions may cause financial loss or legal liability for you, our users or us.

No Warranty:
WE, OUR SUBSIDIARIES, OFFICERS, DIRECTORS, EMPLOYEES AND OUR SUPPLIERS PROVIDE OUR WEB SITE AND SERVICES “AS IS” AND WITHOUT ANY WARRANTY OR CONDITION, EXPRESS, IMPLIED OR STATUTORY. WE, OUR SUBSIDIARIES, OFFICERS, DIRECTORS, EMPLOYEES AND OUR SUPPLIERS SPECIFICALLY DISCLAIM ANY IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. Some states and countries do not allow the disclaimer of implied warranties, so the foregoing disclaimer may not apply to you. This warranty gives you specific legal rights and you may also have other legal rights that vary from state to state and country to country.

Limitations of Liability:
Coffee & Tea to Go Go is not responsible for any incorrect or inaccurate information, whether caused by web site users, tampering, hacking, or by any of the equipment or programming associated with or utilized and assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to the Coffee & Tea to Go Go Site. Coffee & Tea to Go Go is not responsible for injury or damage to participants’ or to any other person’s computer related to or resulting from participating in Coffee & Tea to Go Go or downloading materials from or use of the Coffee & Tea to Go Go Site. If, for any reason, one or more of the areas of the Site are not capable of running as planned by reason of infection by computer virus, worms, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which, in the sole opinion of Coffee & Tea to Go Go, could corrupt or affect the administration, security, fairness, integrity or proper conduct Coffee & Tea to Go Go reserves the right at its sole discretion to cancel, terminate, modify or suspend such affected to those submitted prior to the action taken, or proceed in such a manner as may be deemed fair and equitable by Coffee & Tea to Go Go in its sole discretion.
IN NO EVENT WILL COFFEE & TEA TO GO GO, THEIR PARENTS, AFFILIATES, SUBSIDIARIES AND RELATED COMPANIES, THEIR SPONSORS, ADVERTISING OR PROMOTION AGENCIES OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES AND AGENTS, BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF YOUR ACCESS TO AND USE OF THE INTERNET SITE coffeeandteatogogo.com; OR THE DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM SAID SITE. WITHOUT LIMITING THE FOREGOING, EVERYTHING ON THE INTERNET SITE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. IN NO EVENT SHALL WE, OUR SUBSIDIARIES, OFFICERS, DIRECTORS, EMPLOYEES OR OUR SUPPLIERS BE LIABLE FOR LOST PROFITS OR ANY SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH OUR SITE, OUR SERVICES OR THIS AGREEMENT (HOWEVER ARISING, INCLUDING NEGLIGENCE).
OUR LIABILITY AND THE LIABILITY OF OUR SUBSIDIARIES, OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS, TO YOU OR ANY THIRD PARTIES IN ANY CIRCUMSTANCE IS LIMITED TO THE GREATER OF THE AMOUNT OF PURCHASES AND MONTHLY CONTRIBUTIONS YOU DONATE TO US IN EACH MONTH TO THE ACTION GIVING RISE TO LIABILITY OF ONE-HUNDRED ($100) US DOLLARS. Some States do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you.

Indemnity:
You agree to indemnify and hold us and (as applicable) our parent, subsidiaries, affiliates, officers, directors, agents, and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of this Agreement or the documents it incorporates by reference, or your violation of any law or the rights of a third party.

Legal Compliance:
You shall comply with all applicable domestic and international laws, statutes, ordinances and regulations regarding your use of our services, programs, purchase, solicitation of offers to purchase, and sale of items.

No Agency:
You and Coffee & Tea to Go Go are independent and no agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by this Agreement.

Taxes:
Your relationship with Coffee & Tea to Go Go, LLC. is one of an independent contractor. Therefore, all taxes will be the sole responsibility of each member. No employee-employer relationship is created by your use of our Services and you are fully responsible for filing local, state, federal or any other taxes if applicable on any compensation received as a result of your participation in the Coffee & Tea to Go Go Invite-A-Friend Program. All members earnings will be sent out through Direct Deposit (ACH) to a member’s bank account. As a member you pick your charities that you would like to contribute to. All donations made to our non-profit charities are being made by Coffee & Tea to Go Go, LLC, by taking 10% of the $Amount of your purchase and this will not cost a member anything extra. When your annual earnings exceed $500.00 (five-hundred-dollars US Dollars) from that point further you must request and obtain a W9 Taxpayer Identification Number(TIN) Form complete with your full name, home and email address, Member ID and SSN, sign and send it with the information contained in the instructions on the form to: customersupport@coffeeandteatogogo.com. Once a members W9 TIN Form is received and on file, a confirmation email will be sent to each member and all future monthly earnings will be honored and continued to be paid through Direct Deposit (ACH) to a members bank account.

Notices:
Except as explicitly stated otherwise, any notices shall be given to customersupport@coffeeandteattogogo.com (in the case of Coffee & Tea to Go Go) or to the email address you provide to Coffee & Tea to Go Go during the registration process (in your case). Notice shall be deemed given 24 hours after email is sent, unless the sending party is notified that the email address is invalid. Alternatively, we may give you notice by email, certified mail, postage prepaid and return receipt requested, to the address provided to Coffee & Tea to Go Go. In such case, notice shall be deemed given 3 days after the date of mailing.

Resolution of Disputes:
As a condition of participating in any of Coffee & Tea to Go Go Services; the Invite-A-Friend Program participant agrees that any and all disputes which cannot be resolved between the parties, and causes of action arising out of or connected with Coffee & Tea to Go Go, shall be resolved individually, without resort to any form of class action, exclusively, before a court having competent jurisdiction, which Court shall apply the laws of the State of New York without regard to doctrines of Conflict of Law. Further, in any such dispute, under no circumstances will participant be permitted to obtain awards for, and hereby waives all rights to claim punitive, incidental or consequential damages, or any other damages, including attorneys’ fees, other than participant’s actual out-of-pocket expenses (that is, costs associated with participating with Coffee & Tea to Go Go), and participant further waives all rights to have damages multiplied or increased. In addition to the above, Coffee & Tea to Go Go will consider the use of other alternative forms of dispute resolution, such as mediation, on a case-by-case basis.

General:
This Agreement shall be governed in all respects by the laws of the State of New York; as such laws are applied to agreements entered into and to be performed entirely within New York between New York residents. We do not guarantee continuous, uninterrupted or secure access to our services, and operation of the Site may be interfered with by numerous factors outside of our control. If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced. You agree that this Agreement and all incorporated agreements may be automatically assigned by Coffee & Tea to Go Go in accordance with Section “Notices”, in our sole discretion, Headings are for invitation purposes only and in no way define, limit, construe or describe the scope or extent of such section. Our failure to act with respect to a breach by you or others does not waive our right to act with respect to subsequent or similar breaches. This Agreement sets forth the entire understanding and agreement between us with respect to the subject matter hereof. Sections Release, License Access and Interference, Liability, Limit, Indemnity, Resolution of Disputes shall survive any termination or expiration of this Agreement.

Disclosures:
The services hereunder are offered by Coffee & Tea to Go Go, LLC. and we can be reached via email at customersupport@coffeeandteattogogo.com or by writing to us at Coffee & Tea to Go Go, LLC. Commercially available parental control protections (such as computer hardware, software, or filtering services) are commercially available that may assist you in limiting access to material that is harmful to minors. Each of these may be amended from time to time and are collective as a whole and intertwined as Agreements. In addition, when using particular services on the Site, you agree that you are subject to any posted policies or rules applicable to the services you use through the Site.
